Affiliate Program Terms and Conditions

1. Introduction and Definitions
These Affiliate Program Terms and Conditions ("Agreement") govern your participation in the Copycat Cafe Affiliate Program ("Program"). By applying to or participating in the Program, you ("Affiliate", "you", "your") agree to be bound by this Agreement.
The Program is operated by Copycat Cafe Ltd, a company registered in England and Wales (Company Number: 14846069), trading as "Copycat Cafe" ("Company", "we", "us", "our").
Key definitions:
- "Affiliate Link" means the unique tracking URL or code we provide to you
- "Commission" means the payment you earn for Qualifying Sales
- "Qualifying Sale" means a new subscription purchase made through your Affiliate Link that is not refunded within 30 days
- "Customer" means a person who purchases a subscription through your Affiliate Link
- "Promotional Materials" means content you create to promote Copycat Cafe
- "Active Affiliate in Good Standing" means your affiliate account is approved, not suspended or terminated, and you are in material compliance with this Agreement
2. Program Enrollment
To participate in the Program, you must:
- Be at least 18 years old
- Submit a complete application through our affiliate platform
- Provide accurate information about yourself and your promotional methods
- Wait for approval (typically within 48 hours)
The Program is available worldwide except where prohibited by law or restricted by our payment providers.
We reserve the right to reject applications at our discretion. We do not accept applications from minors, or from websites that contain illegal, harmful, or objectionable content.
3. Commission Structure and Payment
3.1 Commission Rates
- 30% recurring commission on all Qualifying Sales
- Commission is paid for as long as the referred Customer maintains their subscription and you remain an Active Affiliate in Good Standing
- Monthly plan: Approximately $8.70 per month per active subscriber (example based on current pricing)
- Annual plan: Approximately $52.20 per year per active subscriber (example based on current pricing)
- Note: Commission amounts may vary when promotional pricing is in effect
3.2 Cookie Duration
Your Affiliate Link uses a 60-day cookie. If a visitor clicks your link and purchases within 60 days, you receive credit for the sale.
3.3 Payment Terms
- Minimum payout threshold: $50 USD
- Payment schedule: Monthly, around the 15th of each month
- Payment methods: PayPal or bank transfer (for bank transfers, you may need to provide additional details)
- Availability: Payment methods and availability may vary by country. You are responsible for any transfer fees and for providing accurate payout details
- Currency: All commissions are calculated and paid in USD
3.4 Commission Adjustments
Commissions are subject to adjustment in the following circumstances:
- Refunds: If a Customer requests a refund within our 30-day guarantee period, the commission for that sale will be reversed
- Chargebacks: If a Customer disputes a charge, the commission will be reversed pending resolution
- Cancellations: Recurring commissions stop when the Customer cancels their subscription
- Fraud: Commissions from fraudulent or self-referred sales will be reversed
- Negative balance: If commission reversals exceed your earned commissions, the resulting negative balance will be carried forward and offset against future earnings. We will not invoice you for negative balances. If we have already paid commissions on transactions later refunded or charged back, we may recover those amounts by offsetting future commissions. No payouts will be made until your balance is positive.
4. Disclosure Requirements
This section is legally required. You must comply with all applicable advertising disclosure laws.
4.1 UK Requirements (ASA/CAP Code)
If you are based in the UK or targeting UK audiences, you must comply with the Advertising Standards Authority (ASA) and CAP Code requirements:
- Affiliate content must be clearly identifiable as advertising
- Use clear labels such as "#ad", "Ad", or "Advertisement" and avoid vague labels like "Affiliate link" without context
- Disclosures must be prominent, visible before any click, and not hidden in hashtag clusters or below the fold
- On social media, ASA guidance favors clear up-front labeling (for example, placing "#ad" at the start)
4.2 US Requirements (FTC Guidelines)
If targeting US audiences, you must comply with Federal Trade Commission (FTC) guidelines:
- Disclose your affiliate relationship clearly and conspicuously
- Disclosures must be close to the affiliate link or recommendation
- Example disclosures: "I earn a commission if you purchase through my link" or "Ad/Affiliate link"
4.3 Social Media
When promoting on social media, use platform disclosure tools where available and clear hashtags such as #ad, #affiliate, or #sponsored. Disclosures must be visible without requiring users to click "more".
5. Acceptable Promotion Methods
5.1 Content Compliance
You are solely responsible for ensuring your promotional content complies with all applicable laws and these terms. We reserve the right to:
- Review any promotional content you create about Copycat Cafe
- Request modifications to content that misrepresents our product or violates these terms
- Require removal of non-compliant content
While we may monitor affiliate content, this does not shift responsibility for compliance from you to us. Under UK law, brands can share responsibility for misleading affiliate content, so we take compliance seriously.
5.2 Permitted Channels
You may promote Copycat Cafe through:
- Your website, blog, or portfolio
- Email marketing to your own opted-in subscribers
- Social media channels you own or manage
- YouTube videos, podcasts, or other content you create
- Online courses or educational content
- Genuine reviews and recommendations
All promotional content must be honest, accurate, and comply with the disclosure requirements in Section 4.
6. Prohibited Activities
The following activities are strictly prohibited and will result in immediate termination and forfeiture of unpaid commissions:
6.1 Spam and Unsolicited Communications
- Sending unsolicited emails (spam)
- Posting affiliate links in unrelated forums, comments, or social media threads
- Any promotion that violates GDPR, CAN-SPAM, or similar regulations
6.2 Misleading or False Advertising
- Making false claims about Copycat Cafe or its features
- Creating fake reviews or testimonials
- Guaranteeing specific learning outcomes
- Misrepresenting pricing, features, or benefits
6.3 Brand and Trademark Violations
- Bidding on "Copycat Cafe", "CopycatCafe", or similar brand terms in paid advertising
- Creating websites or social accounts that impersonate Copycat Cafe
- Using our logo, mascot, or branding without permission
- Registering domain names containing our brand name
6.4 Technical Fraud
- Cookie stuffing or forced clicks
- Self-referrals or referring fake accounts
- Using bots, scripts, or automated traffic
- Manipulating tracking codes or attribution
- Any activity designed to artificially inflate commissions
6.5 Incentivized Referrals
- Offering cashback, rebates, or incentives for purchases (without prior approval)
- Posting affiliate links on coupon or deal sites (without prior approval)
7. Intellectual Property
The Copycat Cafe name, logo, mascot, and all related trademarks are the property of Copycat Cafe Ltd. You may use our name and approved promotional materials solely for the purpose of promoting Copycat Cafe as an affiliate.
You may not:
- Modify our logo or branding
- Create derivative works from our materials
- Imply official endorsement or partnership beyond the affiliate relationship
- Use our intellectual property after termination of this Agreement
8. Data Protection and Privacy
We take data protection seriously and comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
8.1 Data We Collect
We collect and process the following data about you as an affiliate:
- Name, email address, and payment details
- Information about your promotional methods and websites
- Referral and commission data
This data is processed for the purpose of administering the affiliate program. Our legal basis is contractual necessity (performance of this Agreement).
8.2 Your Obligations
If you collect any personal data in connection with your affiliate activities, you must:
- Comply with applicable data protection laws, including GDPR or UK GDPR where applicable
- Have a clear privacy policy on your website
- Obtain proper consent for any email marketing
- Not share Customer data with third parties
- Cookie consent: If your website uses cookies (including affiliate tracking cookies), you must comply with applicable cookie laws (for example, PECR/ePrivacy in the UK/EU) by obtaining proper consent from your visitors before non-essential cookies are set
8.3 Customer Data
You will not have access to Customer personal data. All Customer relationships are directly with Copycat Cafe.
9. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program
- Our total liability to you shall not exceed the total commissions paid to you in the 12 months preceding the claim
- We are not responsible for technical failures, tracking errors, or third-party platform issues beyond our reasonable control
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Copycat Cafe Ltd, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your breach of this Agreement
- Your promotional activities
- Your violation of any applicable laws or third-party rights
- Any content you create in connection with the Program
11. Term and Termination
11.1 Term
This Agreement begins when we approve your application and continues until terminated by either party.
11.2 Termination by You
You may terminate your participation at any time by contacting us at support@copycatcafe.com. You will receive payment for any outstanding commissions above the minimum threshold.
11.3 Termination by Us
We may terminate your participation:
- Immediately for breach of Sections 4, 5, or 6 (Disclosure, Prohibited Activities)
- With 14 days' notice for any other reason, including discontinuation of the Program
11.4 Effect of Termination
Upon termination:
- You must immediately stop using all Affiliate Links and promotional materials
- You must remove or disable any Copycat Cafe promotions
- If terminated for cause, all unpaid commissions are forfeited
- If terminated without cause, we will pay any outstanding commissions above the minimum threshold
- Recurring commissions cease immediately upon termination
12. Changes to This Agreement
We may update these terms from time to time. For material changes (such as commission rate changes, payment terms, or prohibited activities), we will provide at least 30 days' notice via email before the changes take effect. For minor clarifications or formatting changes, we may update without prior notice.
Your continued participation after the notice period constitutes acceptance of the updated terms. If you do not agree to the changes, you may terminate your participation before they take effect.
13. Governing Law and Disputes
This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@copycatcafe.com.
14. General Provisions
- Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding the Program
- Severability: If any provision is found invalid, the remaining provisions remain in effect
- No Waiver: Failure to enforce any right does not waive that right
- No Partnership: This Agreement does not create any employment, partnership, or agency relationship. You are an independent contractor and solely responsible for your own tax obligations
- Tax Responsibility: You are responsible for reporting and paying all taxes on commissions earned. Tax rules vary by country. If you are UK-based, HMRC's trading allowance is currently £1,000 per tax year (as of January 22, 2026); if you exceed it, you may need to register for Self Assessment. We do not withhold taxes and will not provide tax advice—consult a qualified accountant for your situation
- Assignment: You may not assign your rights under this Agreement without our written consent
